Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Nexusbuild AI Private Limited ("Nexus", "we", "our" or "us"), a company incorporated in India. They apply to nexusbuild.in, the Nexus web app, Nexus Desktop, Nexus Remote and any related service we provide (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for an organization, you confirm you are authorized to accept these Terms for it.

2. The Service

Nexus provides AI agents and tools that do work on your behalf, including a chat and build workspace, a desktop app that works with files and apps on your own computer, remote control of that app from a browser, and a company knowledge base. Features differ by plan and some are in beta. We may change, add or remove features, and we will give reasonable notice before removing something you pay for.

3. Your account

  • You must be at least 18 years old, or have the consent of a parent or guardian where the law allows
  • Give accurate information and keep it up to date
  • Keep your sign-in credentials secure. You are responsible for activity on your account
  • An account is for one person. Do not share it; organizations should use separate accounts
  • Tell us straight away at [email protected] if you think your account has been misused

4. Plans and billing

Free

Access to selected models and features, subject to usage limits.

Pro Lite day pass, Pro and Ultra

  • Prices are set and charged in Indian Rupees and include applicable taxes unless stated otherwise. The pricing page may show an approximate conversion to your local currency for reference; your bank may apply its own conversion
  • The Pro Lite day pass gives 24 hours of access and does not renew
  • Pro and Ultra renew automatically each billing period until you cancel
  • Payments are processed by Razorpay. You authorize us to charge the payment method you choose for each renewal. Where your bank or the RBI rules require it, you will get a notice before each recurring charge and can stop the mandate with your bank at any time
  • We issue a tax invoice for each payment. Email us your GSTIN before purchase if you need it on the invoice
  • You can cancel at any time. Paid access continues until the end of the current period
  • Refunds are governed by our Refund Policy

Enterprise

Enterprise plans are governed by a separate written agreement, which takes precedence over these Terms where they differ.

Price changes

We will tell you at least 14 days before a price change affects a renewal, so you can cancel first.

5. Usage limits and fair use

  • Each plan has usage limits, measured in tokens or requests, shown in your account
  • Limits reset on the schedule shown for your plan. Unused allowance does not carry over
  • We may slow down or pause usage that is automated, excessive or harms the Service for others
  • We may adjust limits with reasonable notice

6. Your content and what you make

"Your content" means the prompts, files, data and instructions you provide, and the output the Service produces for you. As between you and us, you own your content. We claim no ownership over it.

You give us a limited permission to host, process and transmit your content only as needed to run the Service for you, including sending it to the AI model providers that generate responses. We do not use your content to train AI models. You confirm you have the rights to the content you provide.

7. AI output

  • AI output is generated automatically and can be wrong, incomplete, insecure or similar to output given to others
  • Review and test output, especially code, before you rely on it or put it into production
  • Do not treat output as professional advice, such as legal, medical, financial or tax advice
  • You are responsible for how you use output and for complying with the laws that apply to that use

8. Agents on your computer

Nexus Desktop and Nexus Remote can read and change files, run commands and use apps on computers you connect. You control what they may do through the permissions and approvals in the app.

  • Only connect computers you own or are authorized to use
  • You are responsible for the actions you approve and for the permissions you grant
  • Keep backups of important data. We are not responsible for changes an agent makes with your approval
  • Anyone you share a chat with acts under your account's permissions for that chat. Share only with people you trust

9. Acceptable use

You agree not to use the Service to:

  • Break any law or infringe anyone's rights, including intellectual property and privacy rights
  • Upload, generate or share content that is obscene, defamatory, threatens the security or integrity of any country, impersonates a person, or is a deceptive deepfake or misleading synthetic media
  • Create malware, attack systems or get around security, rate limits or usage limits
  • Access computers, accounts or data you are not authorized to access
  • Harass, threaten, defraud or harm others, or generate sexual content involving minors
  • Send spam or run large-scale automated abuse
  • Resell or provide the Service to others without our written permission
  • Copy, reverse engineer or build a competing product from the Service, except where the law allows

We may remove content and suspend accounts that break these rules.

10. Third-party services

The Service works with third-party services such as GitHub, Google, Vercel, Netlify, Supabase, Razorpay and AI model providers. Your use of them is also subject to their terms. We are not responsible for third-party services we do not control.

11. Our intellectual property

The Service, including its software, design and brand, belongs to Nexus and its licensors. These Terms give you a personal, non-transferable right to use the Service while your account is in good standing. If you send us feedback, we may use it without any obligation to you.

12. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the Service will be uninterrupted, error-free or that output will be accurate. Nothing in these Terms limits rights you have under consumer protection law that cannot be waived.

13. Limitation of liability

To the extent the law allows, Nexus is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or ₹5,000 if you have not paid us. These limits do not apply to liability that cannot be limited by law, such as for fraud.

14. Indemnity

You agree to cover our reasonable losses and costs arising from a third-party claim caused by your content, your use of the Service in breach of these Terms, or actions you approved an agent to take.

15. Suspension and termination

  • You can stop using the Service and ask us to close your account at any time by writing to [email protected]
  • We may suspend or close an account that breaks these Terms or puts the Service or others at risk. Where reasonable, we will tell you why first
  • When an account closes, paid access ends and we delete your data as described in our Privacy Policy
  • Sections 6, 7, 11, 12, 13, 14 and 17 continue to apply after your account closes

16. Changes to these Terms

We may update these Terms. We will tell you about material changes by email or in the product at least 14 days before they take effect, unless a change is required sooner by law. If you keep using the Service after a change takes effect, the new Terms apply. If you do not agree, stop using the Service and cancel any subscription.

17. Governing law and disputes

These Terms are governed by the laws of India. Before starting any formal proceeding, please contact us so we can try to resolve the issue informally within 30 days. Subject to that, the courts of India have jurisdiction over disputes relating to these Terms.

18. General

  • If any part of these Terms is found unenforceable, the rest remains in effect
  • Not enforcing a right straight away does not mean we have waived it
  • You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets
  • These Terms, the Privacy Policy, the Refund Policy and any Enterprise agreement are the entire agreement between us about the Service

Questions about these Terms, and complaints about the Service or content on it, can be sent to our Grievance Officer at [email protected]. We acknowledge complaints within 24 hours and resolve them within 15 days.
